1. Acceptance of Terms

By accessing or using the website at raybeamsoftech.com or engaging RayBeam Softech for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

RayBeam Softech provides software development, web and mobile app development, CRM solutions, digital marketing, cloud solutions, and technical training services. The specific scope, timeline, and cost of any engagement will be defined in a separate written proposal and/or Statement of Work (SOW) agreed between both parties.

3. Intellectual Property

Client deliverables: Upon full payment, the client receives full ownership of all custom code, designs, and deliverables created specifically for their project, unless otherwise stated in the SOW.

Pre-existing IP: Any tools, frameworks, libraries, or methods we use that existed prior to the engagement remain the property of RayBeam Softech or their respective owners.

Website content: All content on raybeamsoftech.com (text, graphics, logos, code) is owned by RayBeam Softech and may not be reproduced without written permission.

4. Payment Terms

• Payment terms are defined per project in the SOW or proposal
• Standard projects: 50% upfront, 50% on delivery
• Milestone-based projects: payments tied to agreed milestones
• Invoices are due within 14 days unless otherwise agreed
• Late payments may incur interest at 2% per month

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. We are happy to sign a mutual NDA upon request before any detailed project discussions.

6. Limitation of Liability

To the maximum extent permitted by law, RayBeam Softech's total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service in question during the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

7. Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care. All custom software deliverables include a 30-day defect warranty post-delivery. We do not warrant that our services will be error-free or uninterrupted. The website is provided "as is" without warranties of any kind.

8. Termination

Either party may terminate an engagement with 14 days written notice. In the event of termination, the client is liable for payment of all work completed up to the termination date. Deposits are non-refundable once work has commenced.

9. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be resolved through good-faith negotiation first, and if unresolved, through arbitration in Gujarat, India.

10. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated on this page with an updated "Last Updated" date.
